Letter of Sales Agreement






Deed of Assignment

This assignment is made on 5 December 2009

Between:

Name : Yohana Pinasih Tidariani Putri (Seller)

Address : Jl. Tampo Mas Raya no.9, South Bekasi

Name : Dewi Wulandari (Buyer)

Address : Jl. Duren Sawit A8/6, East Jakarta

Name : Cindy Pratiwi (Landlord)

Address : Jl. Wijaya Baru Raya blok 21 no.1, South Bekasi

We Agree:

· The Landlord, Cindy Pratiwi, is the owner of a house at Pondok Timur Mas, blok H2 no. 17-18, Bekasi.

· A residential sales agreement dated 4 December 2009 on Bekasi was signed by Dewi Wulandari at Cindy Pratiwi’s house at Jl. Wijaya Baru Raya blok 21 no.1, South Bekasi

· By the Agreement Dewi Wulandari became the owner of the house at Pondok Timur Mas, blok H2 no. 17-18, Bekasi. The payment will be transferred to Yohana Pinasih Tidarianiputri’s account as amount as they agree.

· The landlord, Cindy Pratiwi gives her approval to the assignment of the Agreement from Yohana Pinasih Tidarianiputri to Dewi Wulandari.

Now, therefore, it is mutually agreed between the parties as under:

1. That The Buyer has financed The Landlord and The Seller towards the purchase of the said house for which he will not be charging any interest and at the same time Buyer shall not be paying any rent to the Landlord for residing in the flat.

2. That the Seller has handed over the actual and physical possession of the demised premises to the Buyer and the Buyer shall always enjoy the peaceful and uninterrupted possession of the demised premises.

3. That the Landlord shall have no objection if the Buyer makes any additions or alterations in the existing flat. All maintenance and repair charges would be borne by the Buyer. The Buyer is authorized/not authorized to sub-let the demised premises to any person of his/her choice.

4. That the Buyer shall be responsible and liable for the water/electricity charges and other dues in respect of the said flat during the ownership period.

5. In witnesses whereof the Seller and the Buyer have put in their respective signatures to this Agreement on the date and year first above written in the presence of the following witnesses.

On signing of this Assignment

· On execution of this Deed the Landlord agrees that Dewi Wulandari is the Buyer under the Agreement and they may exercise any rights as the Buyer under that Agreement.

· On execution of this Deed the Agreement is assigned by Yohana Pinasih Tidarianiputri to Dewi Wulandari.

· On execution of this Deed the Landlord releases Dewi Wulandari from any liability arising from the Agreement after the date of execution of this Deed.

· On execution of this Deed I Dewi Wulandari, indemnify Yohana Pinasih Tidarianiputri from any future claims brought against them by Cindy Pratiwi in relation to premises at Pondok Timur Mas, blok H2 no. 17-18, Bekasi.

IN WITNESS to the parties have executed this Deed of Assignment on the Saturday 5th of December, 2009
